Executive Committee

NOTE: Includes HR/Personnel Committee to be initiated when needed

PURPOSE:

The Executive Committee works with staff to develop the Board meeting agendas. This committee has no decision-making authority. Minutes of these meetings are presented to the Board for approval of actions and decisions taken.

COMPOSITION:

The Executive Committee is usually made up of 5 to 7 members (no more than 7 members otherwise it would go beyond the quorum of the Board) of which at least one shall have knowledge and expertise of governance of not-for-profit Boards. The precise number is at the discretion of the Committee Chair. All members must be active members of the Board.

Governance Committee

PURPOSE:

The Governance Committee is responsible for nominating board candidates, ensuring that the size, leadership, and composition of the board (and committees, as applicable) are appropriate, and overseeing governance structures, policies & procedures.

COMPOSITION:

The Committee will be composed of a minimum of three (3) persons with the precise number being at the discretion of the Committee Chair, of which at least one shall have knowledge and expertise of governance of not-for-profit Boards. All members must be active members of the Board of Management

DUTIES:

The Governance Committee will perform the following key duties to support the Downtown Kingston BIA Board of Management, with an emphasis on:

  • Review and oversight of Policies and Procedures
  • Oversight of nomination process and of board candidates
  • Oversight of governance structures

Vision and Strategic Plan Committee

PURPOSE:

Committees take on work that the board cannot do during a regular board meeting. The purpose of the Visioning and Strategic Planning Committee is to monitor the progress of the strategic plan objectives with the Executive Director to ensure progress is being made, identify any barriers to success, provide guidance, and recommend changes in direction or objectives.

COMPOSITION:

The Committee will be composed of a minimum of three (3) persons with the precise number being at the discretion of the Committee Chair, of which at least one shall have knowledge and expertise of governance of not-for-profit Boards. All members must be active members of the Board.

DUTIES:
